Bio

At TKP, Jan is part of the Commercial Law and Corporate Advisory team. His practice focus is commercial law, in particular corporate law, commercial agreements, and environmental protection law.

Jan provides corporate housekeeping services, drafting resolutions, agreements, and legal opinions, and representing companies in registration proceedings. He is experienced in handling business negotiations, conducting due diligence reviews, and advising on M&A. He has advised businesses in civil and white-collar crime cases, and on administrative proceedings.

Jan is admitted to the bar in Krakow. He graduated with honors from the Faculty of Law and Administration at the Jagiellonian University, and also did a master’s degree (Master en droit privé) at the Faculty of Law, Economics and Management at the Université d’Orléans. He attended the Erasmus+ program at the University of Montpellier and is a graduate of the Jagiellonian University School of French Law.

He advises clients in Polish, English, and French.

Proposal for amendment of the Commercial Companies Code (UD152): Another Stage in Organizing the Rules on the Dematerialization of Shares

At the end of November, the government’s proposal for an amendment to the Commercial Companies Code (KSH) (UD152) was submitted to the Sejm. It is intended as another stage in organizing the post-implementation landscape following the mandatory dematerialization of shares, which took effect on 1 March 2021. The reform introduced a uniform and more secure model for the trading of shares. However, as indicated in the explanatory memorandum to the proposal, practice has revealed numerous organizational pitfalls and problems with companies’ performance of their basic obligations.

Polish Government announces tax changes to reduce use of family foundations for tax optimization

On 12 August 2024, the Government published information regarding a proposal for amendment to the Personal Income Tax Act, the Corporate Income Tax Act and certain other acts. The envisaged amendments include changes to the taxation rules for family foundations. The legislative proposal has not yet been published, but the Deputy Minister of Finance said that the Government’s aim is to tighten tax rules on family foundations to reduce use of these foundations for tax optimization purposes.

Family foundations only for singles? Controversial individual interpretations regarding disbursements from a family foundation established jointly by spouses

According to individual interpretations of 30 April 2024 issued by the Head of the National Tax Chamber, benefits paid from a family foundation to the founding spouses are subject to partial personal income tax (ref. 0112-KDIL2-1.4011.113.2024.2.JK and 0112-KDIL2-1.4011.114.2024.2.JK).

The Sejm has adopted an amendment to the Wind Farm Construction Project Act. Partial liberalisation of the 10 H rule.

The amendment to the Wind Farm Construction Project Act, now adopted by the Sejm, repeals to some extent the 10 H rule, which was introduced in 2016. This rule placed substantial restrictions on development in Poland of onshore wind farm construction projects.

Poland takes another step to make cross-border reorganization of companies easier

On 8 August 2022, a proposal for a bill amending the Commercial Companies Code and certain other acts was published. This act is to transpose EU Directives 2019/2121 and 2019/1151 and to implement the judgment of the Court of Justice of the EU in the case C-106/16 Polbud. Consequently, the aim of the planned legislation is to facilitate cross-border reorganizations of companies within the EU internal market.
