Bio

At TKP, he is part of the commercial and corporate law practice, as well as real estate, property development, and restitution practice. His practice focus is commercial and real estate law, in particular contractual issues. Before joining TKP, he gained professional experience at an international tax consultancy firm and a law firm in Cracow.

He works on projects intended to cover all aspects of cooperate law, involving corporate housekeeping, drafting resolutions, contracts, and company bylaws, and handling court registration and commercial matters, as well as M&A. He deals with analysis and regulation of legal status of real estate, including cross-border aspects, and advises clients on environmental law.

He graduated from the Faculty of Law and Administration of the Jagiellonian University in Kraków. He is registered with the Bar Association in Kraków.

Michał has a fluent command of English.

The bill on a deposit refund scheme will be considered by the Sejm

Following criticism of the last proposal made by the Ministry of Climate and Environment for the bill, a new proposal was posted on the government website on 13 April 2023, substantially incorporating the suggestions made by the market with regard to the previous version. On 6 June, the Council of Ministers approved the draft and decided to submit it to the Sejm to be read and passed.

The Sejm has adopted an amendment to the Wind Farm Construction Project Act. Partial liberalisation of the 10 H rule.

The amendment to the Wind Farm Construction Project Act, now adopted by the Sejm, repeals to some extent the 10 H rule, which was introduced in 2016. This rule placed substantial restrictions on development in Poland of onshore wind farm construction projects.

One of the most extensive amendments to the Commercial Companies Code will be in effect by October. One forthcoming amendment causing much concern is a change to article 293 which introduces the statutory notion of the business judgement rule.

Poland is considering expanding the deposit-refund scheme to include single-use glass packaging

At a press conference held on 2 June, the Ministry of Climate and Environment announced the current concept for transposing the SUP Directive into Polish law, including introducing a deposit scheme for product packaging in Poland. Meanwhile, the Ministry’s idea goes beyond the guidelines in the Directive, by proposing expansion of the deposit-refund scheme to include single-use glass packaging, and some objections have been raised to this plan.

According to the European Commission website, The EU taxonomy is a classification system, establishing a list of environmentally sustainable economic activities. It is aimed at providing entrepreneurs and regulators with definitions of which economic activities can be considered environmentally sustainable.

SUP Directive awaiting implementation in Poland

Directive (EU) 2019/904 of the European Parliament and of the Council of 5 June 2019 on the reduction of the impact of certain plastic products on the environment (SUP Directive) was to be transposed into Polish law by 3 July 2021. In December 2021, the government presented the new proposal of an act transposing the Directive.

Amendment to waste act signed by president

On 23 November 2021, the President of Poland signed into law the Act of 17 November 2021 amending the Waste Act and certain other acts (Journal of Laws 2021, item 2151). The act implements the European Parliament and Council waste directives.

BAT Conclusions annulled as a result of Poland’s action – but only formally

On 11 October 2017, Poland filed an action with the CJEU against an EC decision adopting the BAT Conclusions. In a judgment of 27 January 2021, case T-699/17, the General Court annulled the EC’s decision. Did this in fact affect the situation of large combustion plants (LCPs), which were required to comply with the conclusions by 17 August 2021?
